LAW 2509 - Sales
This course will provide a comprehensive examination of the law of sales under Article 2 of the Uniform Commercial Code (“UCC”), completing the coverage of Article 2 that was introduced in the first-year Contracts course. The course is a statutory course, with heavy emphasis on navigating, understanding and applying the applicable provisions of the UCC. The course uses both the case law and problem method to understand the application of the law. Students, in addition to exposure to substantive contract law doctrine, will develop significant statutory construction skills.
The primary topics include contract formation and enforceability; usage of trade, course of dealing, course of performance, good faith and modifications; express warranties, gap fillers, implied warranties and warranty disclaimers; terms of the contract including quantity, price, delivery and payment, risk of loss and tender of delivery in shipment contracts; remedy limitations including remedies that fail of their essential purpose and limitation on consequential damages; performance issues including assignment and delegation, insecurity, repudiation, impossibility, impracticability, and frustration of purpose; buyer’s remedies including right to the goods and damages following the seller’s repudiation or nondelivery; the effect of acceptance; revocation; statute of limitations and privity; the seller’s right to withhold, cancel and resell; and seller’s market damages, action for the price, incidental damages and restitution.
