LAW 2605 - Entrepreneurship Law Seminar


This upper-level seminar explores the legal and business issues faced by entrepreneurial ventures. Students will examine entity formation, capitalization, financing vehicles (convertibles, SAFEs, equity), securities regulation, intellectual property protections, founder and employee relationships, contracts, tax-exemption, regulatory compliance, and exit strategies. The course combines traditional doctrinal instruction with experiential, team-based projects, including drafting client memos, analyzing deal documents, and delivering a final team presentation.

Prerequisites/Co-requisites: Business Organizations recommended, but not required.
